Terms and Conditions

The following are the terms and conditions of participating in Wizards & Fairies Affiliate Program. "Affiliate" refers to yourself, and Wizards & Fairies refers to us, Wizards & Fairies Pagan Children’s Books, www.PaganChildrensBooks.com, 6608 Newton Ave S, Richfield MN 55423.

Application for Affiliate Status
All potential affiliates will be reviewed for suitability and appropriateness before being granted approval; applications may be declined for any reason. Approval of affiliate status may be revoked for violation of the terms of this document, or for any other reason.  Incomplete applications may be declined.  Application for affiliate status implies acceptance of these terms by the affiliate; please read promptly.

Payments and Commissions
Wizards & Fairies will pay the affiliate a 10% commission for each Wizards & Fairies charted sale (less shipping, handling and taxes), which is identified as a visitor from affiliate's web site using their unique affiliate link. For a sale to generate a commission, the customer must follow a special link from your site to Wizards & Fairies’ store, make a purchase within 30 days, accept delivery of the product(s) at the shipping destination, and remit full payment to us.

Affiliate’s commission check will be sent on a quarterly basis, approximately 30 days following the end of each calendar quarter (March 31, June 30, September 30, and December 31). Wizards & Fairies Affiliate Agreement states that we will not issue you a check until your account balance at the end of the calendar quarter equals a minimum of $25. If commission does not exceed $25 for prior quarter, Wizards & Fairies reserves the right to hold payment until the next quarter or until commissions accumulates to $25 or more (this is ongoing).

Wizards & Fairies is not responsible for paying interest to affiliates for accrued but not yet delivered commission payments.

Wholesale sales are not included in commission calculations.  Commissions will not be paid on orders placed by customers with wholesale status with our store, even if they followed a link from an affiliate’s page. 

Affiliate precedence:  If a customer visits via two different affiliate links, then the first one that was used is the one that takes precedence while that cookie is still active.

Affiliates may choose how they want to receive commission payments: preferably via PayPal, bank checks via USPS are also an option.  All payments will be in US dollars.  Payment will be made to the address you provide at sign-up (you will be able to modify your address and contact info via your private affiliate area).  Affiliates may change how they receive commission payments via written (email) notice 48 hours in advance, but online methods of payment are preferred.

Any refunds to a customer, referred through your affiliate link, will be deducted from your credited commissions. Chargebacks, if any, will be deducted from your credited commissions.

Affiliates are NOT considered to be an employee of Wizards & Fairies, and are responsible for their own local, state, or county taxes. All affiliate applications are subject to approval by Wizards & Fairies.

Both Wizards & Fairies and the affiliate reserve the right to terminate this agreement at any time. If canceled, outstanding commissions for current period at time of cancellation shall be paid in the next quarterly payment so long as rules of this agreement were not violated by the Affiliate.

Tracking Sales
Our Affiliate Tracking System will handle tracking of all sales. You will be issued a unique affiliate ID which allows us to identify visitors from your site as originating from you. These visitors are tracked with this unique URL and sales are recorded with your affiliate ID. To receive commissions, you must use the provided affiliate ID in your links. The URL may be in various forms such as a banner, image, or text link. Affiliates will set their own password and have complete access to their sales summary 24 hours a day, seven days a week.

You may add as many links to Wizards & Fairies, or remove such links, at any time and without prior approval from us.  However, you must add at least one link to your site within one week of activation.

Every effort will be made to ensure that our site is functional and available for customers referred to our site through your affiliate link.

Only two entities may access your stats and Affiliate information. That would be you (affiliate), and us (Wizards & Fairies).

Wizards & Fairies has NO responsibilities with regard to your site. Wizards & Fairies shall have no liability for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to this agreement or the program. In addition, Wizards & Fairies’ aggregate liability arising under or with respect to this agreement or the program shall in no event exceed total referral fees paid or payable to the Affiliate under this agreement.

ORDER PROCESSING
Wizards & Fairies will be solely responsible for processing every order for our products. Customers will use our secure online ordering process. Order forms, payment processing, shipping, cancellations, returns, and related customer service are our responsibility.

All of Wizards & Fairies rules, operating procedures and policies regarding customer orders and accounts will apply to orders we receive through special links on your site. Wizards & Fairies reserves the right to reject any order that does not comply with our rules, operating procedures and policies.

Every customer who buys a product through this program is deemed to be a customer of Wizards & Fairies. Affiliates do not have the authority to make or accept any offer on Wizards & Fairies’ behalf. All policies regarding customer orders, including product availability, pricing and problem resolution, will apply to these customers. Wizards & Fairies is not responsible for any representations made by affiliates which contradict Wizards & Fairies’ policies.

Two weeks after activation, affiliates can order our products for PERSONAL USE through their affiliate link, giving them, in effect, an additional 10% discount off our already discounted prices.

Trademarks and Images Information
Wizards & Fairies grants you a non-exclusive, revocable right to use our present banners and other such images for the purpose of identifying your site as a program participant and linking to our site. YOU MAY NOT modify or change the banners or any of our images in any way without our prior express permission.

Wizards & Fairies reserves all rights to our trade names and trademarks and all other intellectual property rights.

Affiliate may not display Wizards & Fairies’ logo, image, or trademark, in a way that may be distasteful, defame, or misrepresent.

Affiliate shall not misrepresent Wizards & Fairies’ products or policies.

Affiliate is solely responsible for insuring that their affiliate link is set up properly to qualify for commissions.

SPAM (unsolicited email)
Affiliate agrees to not send unsolicited mail or SPAM, or engage in online discussion forum spam, to promote any of Wizards & Fairies’ products. This action WILL RESULT in immediate termination of your account with a cancellation of any pending commissions. Affiliate will also be in violation of the Wizards & Fairies Affiliate Agreement and subject to legal action.

In addition, affiliates may not advertise in any way that effectively conceals or misrepresents their identity, their domain name or their return email address.

Prohibited Sites
Sites that promote sexually explicit material or violence do not qualify as an affiliate.  Sites that promote discrimination based on race, sex, sexual orientation, religion, national origin, physical disability, etc. shall not be accepted.  Sites that promote illegal activities shall not be accepted.  Do not apply if your site promotes these kinds of activities.  By applying, you are stating that your site does not directly promote or endorse these activities.  Wizards & Fairies monitors affiliates on a regular basis and reserves the right to terminate any affiliate we prefer not to be associated with at any time.

TERMS OF AGREEMENT
The term of this agreement will begin upon our acceptance of your Wizards & Fairies Affiliate Program application and your placement of The Wizards & Fairies’ banner or textual link on your site, and will end when terminated by either party. Either the affiliate or Wizards & Fairies may terminate this agreement at any time, by giving the other party written notice of termination. This will be in the form of email. You can only earn referral fees on sales occurring during the term. We will never withhold any payment due unless a violation of Wizards & Fairies’ terms and conditions has occurred. Payment of monies owed you will be payable on the same schedule as stated above for commission payment. Upon termination of this agreement, the former affiliate must remove all affiliate links and graphics from its web site, and refrain from publishing same in any manner whatsoever.

Commissions earned through the date of expiration or cancellation of this agreement will remain payable only if the qualifying sales are not cancelled or refunded by the referred customers. Payment of the final commission payment to the affiliate may be withheld for 30 days in order to ensure that the correct amount is paid.

INCOME TAX LIABILITY
Affiliates must understand and agree that they are acting as an independent contractor and as such will be responsible for their own income taxes and any other tax liabilities that affect the sales of our products in your state. By law, any commissions in excess of five hundred ninety nine ($599) dollars must be reported by us on a Federal Tax form 1099.

You will be required to supply Wizards & Fairies with your SSAN-social security number when registering as an affiliate. This must be provided via email before an affiliate account will be activated.  Wizards & Fairies will maintain this information for W-9 form completion on your behalf for our records.

Prior to approval, all requested information must be provided to Wizards & Fairies. If you decline to supply an SSAN-social security number, you WILL NOT qualify for our affiliate program. This information is used ONLY for Wizards & Fairies’ IRS reporting and compliance.

INDEPENDENT CONTRACTOR
The relationship between Wizards & Fairies and affiliates established by this agreement is that of independent contractors. Wizards & Fairies and affiliates shall each conduct its respective business at its own initiative, responsibility and expense, and shall have no authority to incur any obligations on behalf of the other, except as otherwise provided herein. Term "affiliate" shall not be interpreted as a legal Partner or Associate, simply as an independent contractor for Wizards & Fairies under this agreement.

RELATIONSHIP OF PARTIES
You (affiliate) and we (Wizards & Fairies) are independent contractors, and nothing in this agreement will create any partnership, joint venture, agency, franchise, sales representative or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything written here.

An affiliate who ignores warnings to cease and desist any activities Wizards & Fairies deems negligent, inappropriate, against the terms of this agreement, or harmful to Wizards & Fairies and or other affiliates will be terminated, and any and all pending commission payments will be forfeited.

DISCLAIMER
Wizards & Fairies’ Affiliate Tracking Systems will make every reasonable effort to track and pay commissions for all sales that apply to affiliate. However, Wizards & Fairies is not responsible for technical problems, acts by third parties, or other events outside our reasonable control which may temporarily disrupt or diminish this service.

LIMITATION OF DAMAGES
Wizards & Fairies shall not be held for liability for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to this agreement or program, even if Wizards & Fairies has been advised of the possibility of such damages.

Wizards & Fairies’ aggregate liability arising under or with respect to this agreement or the program shall in no event exceed the total commissions paid or payable by Wizards & Fairies under this agreement. Affiliate understands that affiliate tracking can never be 100% accurate and Wizards & Fairies is not responsible for inaccuracies that might occur beyond its control. Tracking of affiliate sales depend on several factors, some of which are out of the control of Wizards & Fairies. It is the goal of Wizards & Fairies to make affiliate tracking as honest and accurate as possible; however, Wizards & Fairies cannot guarantee 100% tracking for situations beyond its control.

WARRANTY DISCLAIMER
Wizards & Fairies makes no warranties expressed or implied with regard to its affiliate program except as outlined in this agreement.

MODIFICATION
Wizards & Fairies may modify any of the terms and conditions contained in this agreement, at any time and in our sole discretion, by posting a new agreement on Wizards & Fairies site. Any modifications will also be emailed to all participating affiliates. If any modification is unacceptable to you, you may terminate this agreement. Your continued participation in the program following notification of Wizards & Fairies’ new program will constitute binding acceptance of the change.

CONFLICTS AND DISPUTES
As with any program, a conflict or dispute may occasionally arise due to tracking, orders, commission calculation, performance issues and appeals regarding "termination for cause". Below is outlined who to contact and how to handle any such situation.

- If a concern should arise, send an email to admin at paganchildrensbooks dot com stating your full name, your affiliate ID, and your description of the specifics of your concern. Include any dates or numbers that apply. Wizards & Fairies will investigate immediately and will reply as soon as possible.

- Wizards & Fairies will be more than willing to settle the dispute in as fair a manner as possible, up to and including mediation or arbitration to settle the matter.

- Wizards & Fairies has not pre-selected a mediator or arbitrator. Should one be needed, Wizards & Fairies will select a non-biased, third party moderator.

PRIVACY POLICY
Wizards & Fairies only uses the information you submit to maintain your account, that is, to make your commission payments and to communicate changes in Wizards & Fairies’ product offerings. We will notify you of new banners and or text links to facilitate promotion of Wizards & Fairies. We do not now nor will we in the future, sell, rent, or otherwise make personal information available to anyone.

To protect Wizards & Fairies customers’ privacy, we cannot and will not provide identifying customer names and contact information to you. However, we will provide an online sales report detailing price, service, date of sale, and perhaps other data for your records.  Any customers referred to Wizards & Fairies through the affiliate program are considered to be customers of Wizards & Fairies, and their data will be held confidential, not to be released to any other parties.

GOVERNING LAW
This agreement shall be governed by the laws of the State of Minnesota and the United States.

This concludes the agreement. Thank you for taking the time to read it carefully. We look forward to working with you, our valued affiliate! By applying for our program, you are in effect agreeing to this affiliate agreement.

It is our sincere intent and promise to you to be fair and to treat you with respect! You are very important to us. We simply ask the same consideration of you. We have written this Affiliate Agreement with you in mind, as well as protecting Wizards & Fairies' good name.
